_{2.     Participation conditions}

_{Participation in the Competition is performed by uploading a running video on TikTok or Instagram and using the hashtag #griptogether by 22.03.2024 or by commenting on Continental’s promotional post on Facebook with a running video. The videos must fulfill the following criteria:}

<sub>- at least two persons are shown in the video
- all persons that are shown in the video accepted the publication on social media
- the persons are running / going for a run
- the video is at least 3 sec. long
- the video has a sufficient quality
- no violence, no racism, no political statements, no sexist, no revealing, no compliance relevant contents, no advertising for third-party marks are shown
- the video has not been edited and/or retouched.</sub>

_{Participation is free of charge. The participants are solely responsible for compliance with local law requirements. By uploading a running video or commenting with a running video, the participant agrees to these conditions of participation. If these conditions of participation are not accepted, the participant must not participate in the Competition.}

_{All persons who are at least 18 years old and have their residence in United Kingdom (excluding NI), Czech Republic, France, Germany, Austria, Poland, Slovenia, Romania, Hungary and Spain are eligible to participate. Multiple participation in the Competition (even under different names) is not possible.}

_{2.1     Employees of Continental or an employee of Continental affiliate within the meaning of §§ 15 ff. German Stock Corporation Act and their relatives as well as other persons involved in the design and implementation of this Competition are excluded from participation.}

_{2.2     In the event that the participant creates or uploads content in the Competition, in particular, but not limited to pictures, texts, graphics, animations, videos and/or other media, data, information and/or material (“Content”), the participant hereby grants to Continental as of the respective time of their creation, the non-exclusive, royalty-free, worldwide, transferable, sublicensable (against payment and/or free of charge) rights of use, unlimited in terms of space, time and content, regarding this Content, particular, but not limited to access, use, host, cache, store, display, publish, distribute, modify and adapt this content.}

_{2.3    The participant warrants that all Content Continental receives is not encumbered with (unlicensed) copyrights, industrial property rights, neighboring rights or other third-party rights. The participant warrants and ensures that all necessary approvals for the creation and use of the Content pursuant to these conditions of participation have been provided. If persons are depicted or audible on the Content, the additional prior written consent of those persons may be required for the production of the Content. In this event, the participant shall obtain the relevant consent from said persons. If the participant involves third parties in the production of the Content, the participant shall make sure that they are granted the rights required to grant the rights pursuant to this section.}

_{2.4     The participant will not claim any protection against distortion with regard to the use of the edited Content. Sentence 1 shall not apply in the event of serious distortion.}

_{2.5     The participant agrees that the Content and any part thereof may be published and used in accordance with these conditions of participation and that the participant’s name may, but does not need to, be mentioned in connection with the Content.}

_{2.6     The use of any Content in and/or in connection with the Competition that is misleading, advertising, untrue, discriminatory, offensive or criminally relevant is prohibited. It is also prohibited to use any trademarks, design patents, commercial designations, titles and/or any other intellectual property in any content in a way that damages or harms the reputation and/or goodwill associated with Continental and/or its affiliates or in any other way that negatively impacts or may negatively impact such reputation and/or goodwill. Continental reserves the right to delete or have deleted any such Content and to exclude participants. The participant shall not be entitled to compensation in the event of such a deletion or exclusion from the Competition.}

_{3      Duration and prize(s) of competition}

_{3.1     Participation in the competition is possible within a period which starts on 13.01.2024, 0:00 o’clock and ends on 22.03.2024 at 24:00 o’clock.}

_{3.2     The winners will be determined after the closing date.
Among all videos which meet the criteria under clause 2, a jury, whose independence is ensured by at least one member independent of Continental, will select the 25 most creative videos. From the selected 25 most creative videos, a random draw conducted by Continental will determine the winners.}

_{The following prize(s) will be raffled among all participants whose videos are selected to be the most creatives.:
First-Ten prizes: one pair of Adidas shoes
Second-prizes: adidas Running App premium voucher}

_{Exchange, transfer, or cash payment of the prize is excluded.}

_{3.3     The winner is solely responsible for any taxation of the prize.}

_{3.4     Continental reserves the right to terminate the Competition prematurely or extend it in time without prior notice and without giving reasons. This applies in particular, if a proper execution cannot be guaranteed for technical or legal reasons. In such a case the participants are not entitled to any claims against Continental.}

_{4       Notification of the winners}

_{4.1     The winners will be notified by a comment below their post. In connection with the Competition, Continental is entitled to transmit the winners' data to cooperation partner Cut Media and Werbeagentur Speitkamp in order to enable notification and delivery of the prize.}

_{4.2     If the winner does not contact Continental or the respective cooperation partner within seven days of being notified of the prize, the claim to the prize will lapse without compensation. If the prize cannot be delivered within one month following notification of the prize for reasons for which the winner is responsible, the claim to the prize will also lapse without compensation.}

_{5      Exclusion from participation}

_{Continental reserves the right, at its own discretion, to exclude individual persons from participation in the Competition, to confiscate and reclaim prizes if there is reasonable suspicion of misstatements, manipulation, violation of these conditions of participation or other unauthorized actions.}

_{6       Disclaimer of liability}

_{The participant hereby acknowledges that Continental does not guarantee or warrants the availability of the websites through which the participation in the Competition takes place or the content posted on them. Continental reserves the right to restrict the availability of these websites (even without prior notice) or to restrict access to them in whole or in part. Continental is not liable for the insolvency of the cooperation partners and the resulting consequences for the performance of the Competition and the processing of the prize. Continental, its organs, employees or vicarious agents shall not be liable for any damage that may arise as a result of errors, delays or interruptions in transmission, malfunctions of technical equipment or a service, incorrect content, loss or deletion of data, viruses or in any other way in connection with participation in the Competition, unless such damage is caused intentionally or through gross negligence on the part of Continental. This exclusion of liability does not apply to injuries to body, life and health.}

_{Continental cannot be held responsible in the event of incorrect delivery of the prize(s), nor in the event of problems and/or deterioration and/or losses occurring during the transport or shipment of the prize(s). In this case, the responsibility of the post office or the service provider in charge of the transport must be sought directly by the winner, who will take it into his or her own business, without recourse against Continental.}

_{All prizes that are returned to Continental by post or the service provider in charge of transport, as a parcel not delivered for any reason whatsoever (in particular refused package, no longer living at the address indicated, etc.) will be considered lost for the winners and there will be no new winner designated for these prizes. Continental cannot therefore be held liable for this fact.}

_{Finally, Continental declines all responsibility for any incidents and/or damages of any kind that may occur due to and/or as a result of the use of the prize.}

_{7       Data Protection}

_{Continental AG processes the personal data solely for the purpose of this Competition to carrying out and processing the Competition by viewing your videos, communicating with the winners, transmitting the prizes and publishing the final video. For the processing of the data, Continental transmits it to its processors Cut Media and Werbeagentur Speitkamp. A further process by Continental will not take place, also the data will not be passed on to third parties without the express permission of the participant.}

8      Publication</sub>

_{8.1     After Continental determined the most creative videos and contacted them Continental will ask for their consent to publish the most creative videos on the Continental website and on Social Media (Facebook, Instagram, TikTok).}

_{8.2     The winner and/or the participants with chosen most creative videos are free at any time to revoke the consent to the publication. The revocation should be sent in writing or by e-mail to the following address:}

_{9       Additional}

_{9.1     Legal recourse is excluded.}

_{9.2     These conditions of participation and the entire legal relationship between the participants and Continental are subject exclusively to the law of Germany.}

_{9.3     Should a provision of these conditions of participation be or become invalid in whole or in part, the validity of the remaining provisions of these conditions of participation shall not be affected. In place of the invalid provision, the legally permissible provision that comes closest to the meaning and purpose expressed in the invalid provision in economic terms shall apply. The same applies in the event that these conditions of participation contain an unintentional gap of regulation.}

_{9.4     Place of performance and jurisdiction is Hanover, Germany, insofar as an agreement on this is permissible. If the participant does not have a general place of jurisdiction in Germany or moves his or her place of residence abroad after participation, the registered office of Continental is also agreed as the place of jurisdiction.}

_{9.5     The Competition is not affiliated with Instagram and is in no way sponsored, endorsed or organized by Instagram. Instagram is not liable for the Competition.}

_{9.6     The Competition is not affiliated with TikTok and is in no way sponsored, endorsed or organized by TikTok. TikTok is not liable for the Competition.}
